A. Acceptance & Binding Nature
A.1 These Terms of Use (“Terms”) govern your access and usage of the Groniva HRMS, Payroll, and Contract Labour Management SaaS platform (“Platform”).
A.2 By creating an account, logging in, onboarding workforce data, or using the Platform in any manner, you agree to be legally bound by these Terms and the Unified Privacy Policy.
A.3 If you are accepting these Terms on behalf of a company (Principal Employer, Contractor, or Organisation), you confirm that you are duly authorised to bind such organisation.
B. Eligibility & Account Creation
B.1 Use of the Platform is permitted only by legally competent persons/entities.
B.2 User access categories:
- Principal Employer administrators
- Contractor / Sub-contractor administrators
- HR and payroll managers
- Compliance officers
- Employees/workers (self-service login)
B.3 You are responsible for:
- Safeguarding login credentials
- Activities performed under your account
- Uploading accurate, lawful data
C. Data Role Clarification (Important)
C.1 For HRMS & Payroll:
- Customer (Employer) = Data Fiduciary/Controller
- Groniva = Data Processor
C.2 For Contract Labour:
- Principal Employer = Accountable under CLRA
- Contractor = Executor of records & workforce details
- Groniva = Digital Enabler / Platform Processor
C.3 Groniva does NOT:
- Assume statutory liability under CLRA
- Act as employer of workers
- Validate legal status of contractors/workmen independently
D. Subscription, Billing & Taxes
D.1 The Platform may be offered as:
- Free tier (limited features)
- Paid plan (subscription or usage-based)
- Enterprise agreement
D.2 Invoicing follows GST norms.
D.3 Delayed payments may:
- Restrict access
- Suspend modules
- Delay processing of payroll/compliance exports
D.4 Auto-renewal applies unless explicitly cancelled.
E. Acceptable Use Obligations
Users must not:
- Upload illegal, forged, or fraudulent documents
- Misuse the system to understate compliance liabilities
- Attempt to reverse-engineer or modify the Platform
- Interfere with other users' data
- Introduce malware or security threats
- Publish or disclose confidential data without authorisation
F. Platform Availability & Support
F.1 The Platform is provided using commercially reasonable uptime and cloud infrastructure standards.
F.2 Planned maintenance may temporarily affect availability.
F.3 Support SLAs vary by plan (SaaS / Enterprise).
G. Intellectual Property
G.1 All software, UI/UX, source code, documentation, analytics, modules, workflows, and branding remain Groniva’s IP.
G.2 Customers retain full rights to their workforce and payroll data.
G.3 No part of the Platform may be copied, sublicensed, or resold without written consent.
H. Third-party Integrations
H.1 Integrations (attendance hardware, payroll banks, payment rails, etc.) may involve external providers.
H.2 Groniva is not liable for unavailability, latency, or legal non-compliance of a third-party provider.
I. Liability & Disclaimers
I.1 The Platform is provided “as-is” and “as-available.”
I.2 To the maximum extent permitted by law:
- Groniva’s liability is limited to fees paid in the preceding 12 months.
- No indirect, consequential, punitive, or special damages apply.
I.3 Groniva is not responsible for:
- Contractor wage disputes
- Worker onboarding inaccuracies
- Invalid submissions to labour authorities
- Misuse of system uploads by employer/contractor
- CLRA licence validity lapses
J. Termination
J.1 Customers may terminate usage per plan terms.
J.2 Groniva may suspend/terminate accounts for:
- Non-payment
- Security risk
- Policy breach
- Illegal use of Platform
J.3 Upon termination, the Data Processing Addendum governs offboarding and return/deletion of data.
K. Governing Law & Disputes
K.1 These Terms are governed by Indian law.
K.2 Exclusive jurisdiction lies with Courts in Pune, Maharashtra, India.
K.3 Parties will attempt amicable resolution before legal escalation.
