These Contributor Terms (“Terms”) form a legally binding agreement between the person or entity submitting or updating any content, listing or organisational information (“You”, “Your” or “Contributor”) and Groniva Corporation Private Limited (“Groniva”, “We”, “Our” or “Us”).
These Terms must be read together with our Terms of Use and Privacy Policy, both of which form an integral part of this agreement. By accessing, claiming or modifying a profile, or submitting any contribution to the Groniva Platform, you acknowledge that you have carefully read, understood and agreed to be bound by these Terms.
If you do not agree with these Terms, please do not access or contribute to the Platform.
1. Scope of Platform
“Platform” means and includes the Groniva website, customer dashboards, listings, knowledgebase, community contributions, mobile/web applications, APIs, downloadable reports, integrations, and any other service layer or tool that We operate.
“Profile” means an organisation’s or entity’s listing available on the Platform, which may include publicly available details, regulatory data, corporate/operational information and other enterprise identifiers.
“Contribution” means any data, update, correction, modification, submission, attachment, clarification, or request for addition or removal relating to a Profile voluntarily submitted by You.
2. Authority & Representation
If You submit a Contribution on behalf of an organisation, You confirm that:
- You are authorised to represent the organisation and act on its behalf; and
- You are not misrepresenting your identity, authority or ownership rights; and
- You understand that Groniva may, at its discretion, seek verification or supporting documents.
If you do not have such authority, You must not submit, amend, or claim a Profile.
3. Registration & Claiming a Profile
To contribute or claim a Profile:
- You may be required to register or authenticate your identity on the Platform.
- You must provide accurate and complete information during registration.
- We reserve the right to accept, review, reject, or request clarifications for any submission or claim.
- We may display, edit, verify or moderate Contributions to ensure platform quality and compliance.
4. License to Groniva
By submitting a Contribution, You grant Groniva a
perpetual, worldwide, irrevocable, royalty-free, transferable and sub-licensable licence to:
- Use, host, publish, edit, reproduce, display and distribute the Contribution, and
- Create derivative works and incorporate the Contribution in datasets, analytics, knowledge models, or platform features.
All submissions are voluntary, without expectation of compensation, financial or otherwise.
5. Your Responsibilities
As a Contributor, You agree:
- Not to provide any confidential, proprietary, contractual or trade-restricted information;
- Not to provide inside information or price-sensitive data covered by securities or confidentiality laws;
- Not to upload misleading, fraudulent, defamatory, illegal or infringing content;
- Not to impersonate any real person, officer or organisation;
- To ensure Your Contribution is lawful and does not breach any intellectual property rights or privacy obligations;
- To verify information before submission.
If unsure –
do not submit the Contribution.
6. Groniva’s Rights
We reserve the right, at our sole discretion, to:
- Review, verify, publish, edit, withhold or delete Contributions;
- Suspend or remove a Profile or Contributor account that violates these Terms;
- Request supporting evidence or documentation;
- Retain Contributions for legitimate business, audit, or compliance purposes.
7. Indemnity
You agree to indemnify and hold Groniva (and its affiliates, directors, officers, employees, agents and contractors) harmless from any claims, disputes, losses, damages, liabilities or expenses arising out of:
- Your Contribution or use of the Platform;
- Any claim that Your Contribution infringes a third party’s rights;
- Any violation of these Terms or applicable law.
8. Disclaimer & Limitation of Liability
- Groniva does not guarantee the accuracy, completeness or reliability of any Contribution.
- Groniva will not be liable for any loss or claim arising from Your Contribution or reliance on third-party content.
- You are solely responsible for the authenticity of the data You submit.
9. Governing Law
These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of courts located in Pune, Maharashtra, India.
10. Amendments
Groniva may update these Terms at any time. Continued use of the Platform after changes are published constitutes deemed acceptance.
